オランダの携帯電話事業者T-Mobile NLがTele2 NLを買収

ドイツのDeutsche Telekomの子会社でオランダの移動体通信事業者(MNO)であるT-Mobile NetherlandsはスウェーデンのTele2の子会社でオランダの移動体通信事業者であるTele2 Nederlandを買収すると発表した。

T-Mobile Netherlandsの持ち株会社であるT-Mobile Netherlands HoldingがTele2 Nederlandの持ち株会社であるTele2 Netherlands Holdingの株式100%をTele2より取得して経営統合する。

Tele2はTele2 Netherlands Holdingの株式100%の対価として、T-Mobile Netherlands Holdingより現金で1億9,000万ユーロ(約251億円)とT-Mobile Netherlands Holdingの株式25%を受け取る。

取引が完了すれば持ち株会社であるT-Mobile Netherlands Holdingへの出資比率はDeutsche Telekomが75%、Tele2が25%となる。

すべての取引は関連する競争当局による承認の取得が前提となっている。

なお、T-Mobile Netherlandsは第4世代移動通信システム(4G)、第3世代移動通信システム(3G)、第2世代移動通信システム(2G)を運用する一方、Tele2 Nederlandは4Gのみを運用しており、Tele2 Nederlandは4Gのエリア外では仮想移動体通信事業者(MVNO)としての契約に基づきT-Mobile Netherlandsの3Gおよび2Gを利用している。
