ガーナの携帯電話事業者AirtelTigoを国有化

インドの移動体通信事業者(MNO)であるBharti AirtelおよびルクセンブルクのMillicom International Cellular (MIC)はガーナの移動体通信事業者でAirtelTigoとして事業を行うAirtel Ghanaをガーナ政府に売却することで当事者間で合意に達したと発表した。

Bharti AirtelおよびMillicom International Cellularは2020年10月27日にガーナから撤退する計画を公式に表明し、ガーナ政府と協議の段階であることも公表していた。

Airtel GhanaはBharti AirtelおよびMillicom International Cellularの合弁会社であるが、ガーナ政府が取得して国有化することになる。

なお、ガーナではBharti AirtelがAirtel Ghana、Millicom International CellularがガーナのTigo Ghanaを通じてそれぞれ個別に移動体通信事業者として携帯通信事業を手掛けていた。

しかし、2017年3月3日にAirtel GhanaとTigo Ghanaを統合することでBharti AirtelおよびMillicom International Cellularの間で合意し、2017年10月12日に統合を完了した。

Tigo Ghanaの権利義務をAirtel Ghanaが承継して事業を統合するとともに、ブランドをAirtelTigoに変更して携帯通信事業を展開している。

Bharti AirtelおよびMillicom International CellularはオランダのBharti Airtel Ghana Holdingsを通じてAirtel Ghanaを保有しており、Bharti Airtel Ghana Holdingsに対する持分比率はBharti Airtelが49.95%、Millicom International Cellularが50.05%となっている。

また、ガーナ政府はAirtel GhanaとTigo Ghanaの統合前のAirtel Ghanaに資本参加しており、ガーナのGhana National Petroleum Corporationを通じてAirtel Ghanaの25%を保有していた。

統合後のAirtel Ghanaに関してはガーナ政府がBharti AirtelおよびMillicom International Cellularから12.5%ずつ、またはBharti Airtelから25%を取得し、いずれかの方法で最終的にAirtel Ghanaの25%を取得できる権利も保有していたが、行使していなかった。

ただ、Airtel Ghanaの不振を受けてBharti AirtelおよびMillicom International Cellularはガーナから撤退する方向で決定したため、ガーナ政府がAirtel Ghanaを引き継ぐことになった。

そのため、Airtel Ghanaはガーナ政府が完全所有する移動体通信事業者となる。
