オランダのT-Mobile NLとTele2 NLの経営統合を完了

ドイツのDeutsche Telekomの子会社でオランダの移動体通信事業者(MNO)であるT-Mobile NetherlandsとスウェーデンのTele2の子会社でオランダの移動体通信事業者であるTele2 Nederlandは経営統合を完了したと発表した。

T-Mobile NetherlandsとTele2 Nederlandの経営統合に関する合意は2017年12月15日に発表していたが、規制当局などの審査を経て2019年1月2日に経営統合を完了したという。

Deutsche Telekomの子会社でT-Mobile Netherlandsの持ち株会社であるT-Mobile Netherlands HoldingはTele2の子会社でTele2 Nederlandの持ち株会社であるTele2 Netherlands Holdingの株式100%をTele2より取得し、Tele2はTele2 Netherlands Holdingの株式100%の対価としてT-Mobile Netherlands Holdingより1億9,000万ユーロ(約234億5,740万円)の現金とT-Mobile Netherlands Holdingの株式25%を受け取った。

これにより、T-Mobile Netherlands Holdingに対する出資比率はDeutsche Telekomが75%、Tele2が25%となり、T-Mobile Netherlands Holdingの傘下にT-Mobile NetherlandsおよびTele2 Nederlandを置くことになる。

T-Mobile NetherlandsおよびTele2 NederlandはDeutsche Telekomの子会社と位置付けられる。

なお、T-Mobile Netherlandsは第4世代移動通信システム(4G)、第3世代移動通信システム(3G)、第2世代移動通信システム(2G)を運用する一方、Tele2 Nederlandは4Gのみを運用しており、Tele2 Nederlandは4Gのエリア外では仮想移動体通信事業者(MVNO)としての契約に基づきT-Mobile Netherlandsの3Gおよび2Gを利用している。
